Sidney G. Winter est un économiste qui s'est intéressé à la théorie de la firme sous l'angle de l'évolutionnisme. Sa carrière a été fortement influencée par Joseph Schumpeter. Il est reconnu pour avoir établi en 1982, avec Richard R. Nelson, une théorie des routines organisationnelles.

En 1987, Sydney Winter a fait valoir que les connaissances d'une organisation sont un actif de rentes stratégiques si trois critères sont présents :

  • (1) La connaissance est tacite plutôt que formalisée
  • (2) La connaissance n'est pas observable durant son utilisation
  • (3) La connaissance est complexe plutôt que simple.
